Terms of Service

Welcome to Tukule. By accessing or using our cloud platform hosted at app.tukule.com, you agree to comply with and be bound by the following Terms of Service. Please read these terms carefully before initiating the registration process. These terms constitute a legally binding agreement between Tukule ("we," "our," or "us") and the registering financial group (SACCO, Investment Club, VSLA, or Savings Group) and its individual authorized users.
1. Regulatory Status and Scope of Service
Tukule is strictly a software-as-a-service (SaaS) provider. We design, host, and maintain administrative and accounting tools to assist financial groups in tracking their financial records, savings, loans, ledger entries, shares, dividends, and governance activities.
- No Financial Intermediation: Tukule is not a bank, microfinance institution, savings cooperative, or money lender. We do not solicit, collect, pool, invest, or hold public savings or deposits, nor do we issue credit, loans, or financial advice.
- Compliance: The Subscribing Organization is solely responsible for ensuring its operational structure, money lending practices, cooperative bylaws, interest rate charges, and capital investments comply with the relevant laws of Uganda, including the Tier 4 Microfinance Institutions and Money Lenders Act, 2016 and the Cooperative Societies Act, Cap 112.
2. Account Creation and Administration
To use the platform, an authorized representative must register the organization. The registering individual warrants that they possess the legal authority to bind the organization to these Terms.
- Administrative Integrity: Organization administrators are responsible for managing access permissions for committee members, treasurers, and general members.
- Credential Security: Users must maintain the confidentiality of their login credentials. Any transaction, approval, or data entry recorded under a user's account is deemed to be performed by that user.
3. Setup Fee, Onboarding, and Payments
Our platform onboarding structure is transparently configured to align with growing financial organizations in Uganda:
- Onboarding & Setup Fee: A one-time onboarding fee of 500,000 UGX is required to activate the system. This fee covers complete database configuration, data migration assistance from legacy spreadsheets or books, system customization, and remote training sessions for administrators.
- Non-Refundability: The onboarding and setup fee is non-refundable once data migration, system configuration, or staff training has commenced.
- Growing Model: Post-onboarding, platform fees are structured based on active configurations and size, with no hidden monthly fees. Any transactional fees or SMS billing parameters will be fully disclosed and agreed upon in writing before deployment.
4. User Conduct and Legality of Funds
The Subscribing Organization and its members agree to use the platform solely for lawful cooperative and investment purposes. The organization represents and warrants that all member funds, savings, and investments managed through the platform do not originate from or facilitate any illicit activities, in compliance with the Anti-Money Laundering Act, 2013 of Uganda.
5. Accuracy of Financial Records
All loan allocations, interest rate computations, guarantor structures, repayment terms, and penalty applications are configured and input directly by the organization's designated administrators. Tukule is not liable for data entry errors, computational variations arising from incorrect configurations, or disputes between members, guarantors, and the committee regarding account balances.
6. Proprietary Rights and Data Ownership
- Our Intellectual Property: Tukule retains all rights, title, and interest in and to the platform codebase, visual design, modules, and database structures. Users are granted a limited, non-exclusive, non-transferable license to access the services.
- Client Data Ownership: The Subscribing Organization owns all data, member registries, transactions, and governance records uploaded to the system. Upon request and subject to account settlement, Tukule will facilitate the export of all client records in standard formats.
7. Limitation of Liability and Availability
While Tukule implements robust security standards and tenant isolation protocols, the system is provided on an "as-is" and "as-available" basis. We are not liable for direct, indirect, or consequential losses, including loss of cooperative funds, investment capital, member trust, or administrative operational time, arising out of system downtimes, regional internet service disruptions, or mobile network failures within Uganda.
8. Governing Law and Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of the Republic of Uganda. Any dispute, controversy, or claim arising out of or relating to this agreement shall first be subjected to mutual amicable settlement. If unresolved within thirty (30) days, the dispute shall be referred to and finally resolved by arbitration in Kampala, Uganda, in accordance with the Arbitration and Conciliation Act, Cap 4 of Uganda.
9. Amendments and Contact
